Online Selling Policy

Resellers, selling Turnstyle Brands product online must comply with the Online Selling Policy. The Online Selling Policy is independent of and separate from any agreement or understanding between Reseller and Turnstyle Brands on any matter. Turnstyle Brands reserves the right to discontinue doing business with and Reseller without liability in the event of a violation of the Online Selling Policy. Turnstyle will unilaterally enforce this policy, strictly and uniformly, with respect to all Resellers.

Turnstyle Brands reserves the right to review all methods of Resellers onlines sales not covered in the below Online Selling Policy. The Online Selling Policy will be updated to address these other online selling methods as they arise.

Reseller-Owned Website
Resellers ARE permitted to sell Turnstyle products online through their own reseller owned website. However, all pricing has to be in-line with our Minimum Advertised Price (MAP) policy.
 
Amazon.com
Resellers ARE NOT permitted to sell Turnstyle products online through Amazon.com.

Ebay & Other Auction Websites
Resellers ARE NOT permitted to sell Turnstyle products online through Ebay and other auction websites.

Shipping Outside the US, Canada & Mexico
Resellers ARE NOT permitted to sell Turnstyle products online to shipping locations outside of the United States, Canada or Mexico.

MAP Policy

Resellers, selling Turnstyle Brands product online must comply with the Minimum Advertised Price (MAP) Policy. The MAP Policy is independent of and separate from any agreement or understanding between Reseller and Turnstyle Brands on any matter. Turnstyle Brands reserves the right to discontinue doing business with and Reseller without liability in the event of a violation of the MAP Policy. Turnstyle will unilaterally enforce this policy, strictly and uniformly, with respect to all Resellers.

This MAP Policy does not extend to a Reseller’s actual resale price IN STORE, which the Reseller may set in its sole and absolute discretion. This MAP Policy applies to Unites States, Canada and Mexico Resellers only.

Turnstyle will not discuss acceptance, or any conditions of acceptance, with and Reseller related to the MAP Policy, as it is non-negotiable and will not be altered for any Reseller. Nothing in the MAP Policy shall constitute an agreement between Turnstyle and any Reseller that the Reseller will comply with the MAP Policy.

The MAP Policy applies to all forms of advertising including, but not limited to:

• Internet Advertisements, Publications, or Listings (banner ads, broadcast emails, destination pages, third-party sites sponsored, placed or funded by the Reseller, etc.)
• Print Ads (inserts, magazines, catalogs, newspapers, etc.)
• Broadcasts (radio, TV, etc.)
• Direct Mailers (email, fax, etc.)
• Billboards

• Displays, Banners, or any other price markings at Reseller’s place(s) of business
• Quotes, Contracts
• Separate internet site “checkout” pages where the final purchase election is made

General 

ALL Turnstyle products are subject to this MAP Policy, including any products that may, from time to time, be added. Turnstyle will notify Resellers of any Turnstyle products that are no longer subject to the MAP Policy.

The MAP price equals the Turnstyle list price set forth on Turnstyle’s Dealer Website, which is available to all Resellers and may be amended, from time to time, by Turnstyle in its sole discretion.

No advertisement by a Reseller may offer a Turnstyle product subject to the MAP Policy at a price less than the MAP list price.

Advertisements for Turnstyle products may include percentage or specific dollar amount discounts or rebates. If such discounts result in a net price lower than the MAP Policy price of a Turnstyle product, then such advertisement will be a MAP violation.

For clarification, the following advertising will comply with the MAP Policy:

• Advertising without any reference to price;
• Advertising that promises to match or beat prices from competitors;
• Advertising that offers no money down or delayed payments, unless the advertisement specifies a dollar value for these terms which nets a price that is below Turnstyle’s MAP list price.

Promotions

Bundled promotions by Reseller will not violate MAP Policy so long as all of the following criteria are met:

• If a price for the Turnstyle product is included in an advertisement, the Turnstyle MAP list price must be used
• If multiple Turnstyle products are included in an advertisement, the bundle price must be at least as high as the sum of the individual Turnstyle MAP list prices;
• If Turnstyle products are bundled with third party products, the bundle price must at least exceed the sum of the individual MAP list prices for the Turnstyle products; and
• The bundle is not assigned a value that is less than the Turnstyle MAP list price, or the bundle does not describe the Turnstyle product as “free”, “included” or discounted.

Resale Price

The Reseller is free to set the actual resale price for any product IN STORE. The MAP Policy is not, and shall not be construed to be, an agreement between Reseller and Turnstyle to set the resale price of Turnstyle products.

Confidentiality

No Reseller may disclose to any person any of the terms or conditions of this MAP Policy nor any MAP list price in effect, from time to time, for any Turnstyle product.

Resellers must not communicate with Turnstyle about the activities of any other Reseller. Turnstyle will not respond to any questions or comments from one Reseller about the activities of any other Reseller.
